Terms & Conditions

These terms govern your use of this website and your subscription to Dentin Offline software. By purchasing a subscription, you agree to these terms.

Plain summary: You get a non-exclusive license to use Dentin Offline on your clinic's hardware. Your patient data belongs to you. We own the software. Pricing is agreed at the time of purchase. Indian law governs.

1. Definitions

In these Terms, the following words have the following meanings:

  • "Dentin Offline" / "we" / "us" / "our" — the entity that develops and licenses the Dentin Offline software and operates the website at dentinoffline.com.
  • "Software" — the Dentin Offline dental practice management application, including all updates, modules, and accompanying documentation.
  • "You" / "Licensee" — the dental clinic owner or organisation purchasing a subscription to use the Software.
  • "Subscription" — the time-limited license to use the Software, granted in exchange for the applicable subscription fee.
  • "Clinic Data" — all patient records, clinical notes, billing information, appointment data, and other data entered into the Software by you or your staff.

2. License Grant

Subject to these Terms and payment of the applicable subscription fee, we grant you a non-exclusive, non-transferable, revocable license to install and use the Software on hardware located within your licensed dental clinic(s) in India, solely for your internal practice management purposes.

The license covers the number of installations and staff users agreed at the time of purchase. The Solo suite is licensed for a single-chair clinic with up to two staff users. The Core suite permits multi-chair, unlimited staff use as specified at purchase.

This license does not extend to any other clinic, practice location, or entity unless separately agreed in writing.

3. Restrictions on Use

You must not:

  • Copy, modify, adapt, translate, reverse-engineer, decompile, or disassemble the Software;
  • Create derivative works based on the Software;
  • Sublicense, sell, resell, transfer, assign, or otherwise deal in the Software or any rights in it;
  • Remove or alter any proprietary notices, labels, or marks on the Software;
  • Use the Software for any purpose other than lawful dental practice management;
  • Attempt to gain unauthorised access to any part of the Software beyond your licensed scope;
  • Use the Software to process data for any third party outside your licensed clinic.

4. Subscription, Payment, and Billing

Pricing

Subscription fees are agreed individually at the time of purchase following a product demonstration. Fees are exclusive of applicable Goods and Services Tax (GST). GST at the applicable rate (currently 18%) will be charged in addition to the subscription fee. A GST-compliant invoice will be issued for each billing cycle.

Billing and renewal

Subscriptions are billed on the cycle agreed at purchase (monthly or annual). Subscriptions renew automatically unless cancelled before the renewal date in accordance with Section 4 below.

Price changes

We will provide at least 30 days' written notice (by email to your registered address) before any change in subscription fees takes effect. Continued use of the Software after the notice period constitutes acceptance of the revised price.

Failed payments

If payment fails, we will notify you and allow a grace period of 7 days to resolve the issue before suspending access. Access is restored immediately upon successful payment.

5. Intellectual Property

The Software, including all source code, object code, interfaces, design, documentation, and all updates, is and remains the sole and exclusive intellectual property of Dentin Offline. These Terms do not transfer any ownership interest in the Software to you.

All trademarks, service marks, logos, and trade names displayed on the Software or this website are proprietary to Dentin Offline.

6. Data Ownership and Responsibility

Your Clinic Data belongs to you. We make no claim to any Clinic Data. We have no access to it. It is stored exclusively on your hardware.

You are the Data Fiduciary in respect of all patient personal data processed through the Software, as defined under the Digital Personal Data Protection Act 2023. You are solely responsible for:

  • Obtaining lawful consent from patients for the collection and processing of their personal and clinical data;
  • Ensuring the accuracy, completeness, and currency of Clinic Data;
  • Backing up Clinic Data to a secure, separate medium (external drive or NAS) — we recommend daily backups;
  • Complying with all applicable laws, including the DPDP Act 2023, IT Act 2000, SPDI Rules 2011, and Dentists Act 1948, in relation to patient data.

We are not liable for any loss, corruption, or disclosure of Clinic Data arising from hardware failure, theft, power outage, user error, or any cause outside our software's operation.

Data export on cancellation

Upon cancellation or expiry of your subscription, you retain full access to your Clinic Data on your hardware. The Software will not delete your data on subscription expiry. You may export all data in CSV, JSON, or PDF format at any time during or after your subscription.

7. Warranty Disclaimer

The Software is provided "as is" and "as available" without warranty of any kind, express or implied, to the maximum extent permitted by applicable law. We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Software will be error-free, that defects will be corrected within any specific timeframe (other than as stated in our support commitments), or that the Software will meet any specific regulatory or clinical record-keeping requirement. You are responsible for verifying that the Software's use is appropriate for your specific regulatory context.

Critical bugs are addressed within 24 hours; non-critical bugs are resolved in the next maintenance update. Bug fixes are always provided free of charge regardless of subscription tier.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Dentin Offline's aggregate liability to you for any claim arising under or in connection with these Terms or the Software shall not exceed the total subscription fees paid by you in the 12 months immediately preceding the event giving rise to the claim.

We shall not be liable — whether in contract, tort (including negligence), or otherwise — for:

  • Loss of patient data due to hardware failure, power outage, theft, or other cause outside the Software's operation;
  • Loss of revenue, profits, or business opportunities;
  • Any indirect, consequential, incidental, or special losses;
  • Any clinical loss or adverse patient outcome arising from reliance on data maintained in the Software.

Nothing in these Terms limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable Indian law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Dentin Offline and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

  • Your breach of these Terms;
  • Your use of the Software in a manner not authorised by these Terms;
  • Any claim by a patient or third party arising from your collection, storage, or handling of patient data;
  • Your non-compliance with applicable laws regarding patient data or dental practice.

10. Termination

Termination by you

You may cancel your subscription at any time by written notice to support@dentinoffline.com. Cancellation takes effect at the end of the current billing cycle.

Termination by us

We may terminate your license immediately on written notice if you breach these Terms and fail to remedy the breach within 14 days of receiving notice, or immediately if the breach is incapable of remedy. We may also terminate with 30 days' notice for any other reason, in which case a pro-rata refund of unused subscription fees will be issued.

Effect of termination

On termination, your right to use the Software ceases. Your Clinic Data remains on your hardware and is not deleted by us. The provisions of Sections 5, 6, 7, 8, 9, and 12 survive termination.

11. Updates and Maintenance

Software updates, including bug fixes and security patches, are included in your subscription at no additional charge. Feature updates and new modules may be included at our discretion. We will notify you of significant updates by email or within the Software itself. We reserve the right to update the Software to improve functionality, security, or compliance. Updates will not remove core features without advance notice.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, including the Indian Contract Act 1872, the Information Technology Act 2000, and the Consumer Protection Act 2019. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes amicably by written notice and good faith negotiation for a period of 30 days.

If you have a complaint regarding our service, please contact our Grievance Officer at support@dentinoffline.com before pursuing formal legal remedies. We are committed to resolving disputes promptly.

13. Amendments

We may amend these Terms from time to time. Material changes will be communicated by email to your registered address and posted on this page with an updated effective date. Changes take effect 30 days after notice, except where a shorter period is required by law. Continued use of the Software after the effective date constitutes acceptance of the amended Terms. If you do not accept the amended Terms, you may cancel your subscription before the effective date.
